End User License Agreement

By installing, copying, downloading, or using BidBoard software or materials ("Software"), you agree to this agreement on your own behalf and on behalf of the organization you represent. If you do not agree, do not install or use the Software.

Norbeck Technologies, Inc. grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on devices you control, solely in support of your organization's internal proposal and contracting work, and only while an associated subscription remains active.

The Software is licensed, not sold. Norbeck Technologies and its licensors retain all right, title, and interest in the Software, including all copyrights, patents, trade secrets, and trademarks. No title passes to you, and no exhaustion or first-sale right arises from your receipt of a copy. You may not transfer, assign, resell, or lend your copy or your license.

• No copying except a single archival backup.
• No modification, adaptation, translation, or derivative works.
• No reverse engineering, decompilation, or disassembly, except to the narrow extent that applicable law prohibits this restriction.
• No removal or alteration of copyright, patent, trademark, or confidentiality notices.
• No rental, lease, hosting, service-bureau use, or distribution to third parties.
• No circumvention of license keys, activation, entitlement checks, or usage metering.

Documents you generate — proposals, pricing worksheets, filled federal forms, and similar outputs — are yours to use, file, and share for your own contracting purposes. The underlying templates, form overlays, schemas, and generation logic remain the property of Norbeck Technologies and may not be extracted, republished, resold, or used to build a competing product.

The Software may include third-party components licensed under their own terms, which control for those components to the extent they conflict with this agreement. See the license notices.

Updates, patches, and new versions supplied to you are governed by this agreement unless accompanied by separate terms. Norbeck Technologies is not obligated to provide updates or to maintain compatibility with any particular environment.

This license runs until terminated. It terminates automatically if you breach it or if the associated subscription ends. On termination you must stop using the Software and delete all copies, including archival copies. Sections 3, 5, 9, 10, and 11 survive termination.

The Software, its performance characteristics, and any non-public documentation are confidential information of Norbeck Technologies. You will protect them with at least reasonable care and will not disclose them except to your personnel who need access and are bound by comparable obligations.

The Software is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Norbeck Technologies' aggregate liability under this agreement is limited to the amounts paid for the Software in the twelve months preceding the claim, and it is not liable for indirect, incidental, or consequential damages.

Unauthorized copying or distribution is both a breach of this agreement and copyright infringement, and Norbeck Technologies may seek injunctive relief and statutory remedies. The Software is "commercial computer software" under FAR 12.212 and DFARS 227.7202; U.S. Government users acquire only the rights stated here. You will comply with applicable U.S. export control and sanctions laws.
