SaaS Terms of Service

Subject to payment and continued compliance with these terms, Norbeck Technologies, Inc. grants Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the hosted BidBoard service during the subscription term, solely for Customer's internal proposal, capture, and contracting work.

No copy of the software is sold, delivered, or licensed for installation, and no ownership interest transfers. The service is made available, not distributed; nothing in these terms constitutes a sale of a copy.

Access is licensed per named user. Credentials must not be shared, pooled, resold, or used by more individuals than the number of seats purchased. Customer is responsible for all activity under its credentials and must notify Norbeck Technologies promptly of any suspected compromise.

Affiliates, parents, subsidiaries, and outside contractors are not covered by Customer's subscription unless named in an order form or master services agreement.

Customer will not, and will not permit any person to:

• copy, modify, translate, or create derivative works of the service or its outputs' underlying software;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, models, prompts, schemas, or algorithms;
• rent, lease, resell, sublicense, time-share, or operate the service as a bureau or managed offering for third parties;
• circumvent authentication, rate limits, usage metering, entitlement checks, or tenancy boundaries;
• probe, scan, or load-test the service without prior written consent; or
• use the service to build or train a competing product, or to benchmark it for public disclosure without consent.

Programmatic access is permitted only through interfaces Norbeck Technologies documents and authorizes, using credentials issued to Customer, and within published rate limits. Automated collection of data or content from the user interface — crawling, scraping, headless browsing, screen capture at scale, or any equivalent technique — is prohibited.

Norbeck Technologies may throttle, suspend, or revoke API credentials that generate excessive load, evade limits, or exfiltrate content in bulk. Output retrieved through the API is subject to the same restrictions as output shown in the interface.

Norbeck Technologies targets 99.5% monthly availability for the production service, measured excluding scheduled maintenance, emergency maintenance, force majeure, and failures of third-party services, government data sources, or Customer's own network.

Scheduled maintenance is announced in advance where practicable. Support is provided by email at support@norbecktech.com during U.S. business hours. Any service credits are those stated in Customer's order form or master services agreement; where none are stated, credits are not offered.

Customer retains all rights in solicitations, proposals, pricing, and documents it uploads or generates. Customer grants Norbeck Technologies a limited license to host, process, transmit, and display that data as needed to operate and support the service, and to produce aggregated, de-identified statistics that do not identify Customer or any individual.

Customer data is not used to train third-party foundation models. Customer is responsible for ensuring it has the right to upload the data it submits and for not submitting classified information.

The service produces draft content through automated workflows. Drafts are starting points and are not legal, contractual, or pricing advice. Customer is responsible for reviewing every submission for accuracy, responsiveness, and compliance before it is filed with any agency or counterparty.

Fees, tiers, and billing periods are those shown on the pricing page or in Customer's order form, and are exclusive of taxes. Fees are non-refundable except where required by law. Norbeck Technologies may suspend access for non-payment, for misuse, or where continued access threatens the integrity or security of the platform.

The service, its workflows, schemas, interfaces, and documentation are proprietary and Patent Pending; see the Patent & IP Notice. Access is a contractual permission, not a transfer of rights.

Use outside the scope granted here is both a breach of these terms and, where it involves copying, reproduction, or preparation of derivative works, an infringement of Norbeck Technologies' copyrights. Norbeck Technologies may pursue contractual and statutory remedies, including injunctive relief.

The subscription runs for the term stated in the order form and renews as stated there. Either party may terminate for material breach not cured within thirty days of notice. On termination the access right ends immediately. Customer may export its data for thirty days after termination, after which it may be deleted.

The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Norbeck Technologies' aggregate liability is limited to the fees paid in the twelve months preceding the claim, and neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost award opportunities.
